You might think that starting a company involves getting a single piece of paper that says “Open for Business.” In Saudi Arabia, however, the “Business License” is not one document, but a sequential system of approvals that can be confusing for first-time investors.

Why Is It the First Step?

It is the first step because the Ministry of Commerce will not recognize a foreign owner without prior approval from the Ministry of Investment.

Think of the MISA license as your “Visa” to enter the business market. It validates that your foreign company is legitimate, financially stable, and eligible to invest in the Kingdom. It defines your business activity (e.g., Services, Industrial, Trading). You must select your activity carefully here (using ISIC codes), as it restricts what your company can and cannot do later.

What Does It Look Like?

It is a digital certificate featuring a QR code, your entity’s name, and the specific investment activity you are authorized to conduct.

This document is your proof of 100% foreign ownership. When you go to the bank or government offices, they will ask for your “Investment License” first.

What Is the Commercial Registration (CR)?

The Commercial Registration (or “Sijil Tijari”) is the official legal record that births your company as a Saudi entity, distinct from its owners.

Is It the Same as a Trade License?
